 Welcome to The Other Storyteller (TOS), we are excited to have you here.

The Other Storyteller is a prestigious organization that aims to:
- Support individuals and organizations navigate cultural differences and move ahead;
- Coach and train using storytelling as a universal form of sharing and acceptance, as well as integrate storytelling in professional presentation; and
- Provide valuable insights and feedback through coaching sessions and workshops.

By becoming a client of TOS and following the rules set forth in these Terms, you have the opportunity to grow your organization and its visibility as a safe place to work, live, and thrive, to position yourself as a professional in your field (for individuals), and to gain a competitive edge in your industry.

Website Usage Policy

These Terms apply to any use of the Website, including but not limited to:
- Registering or subscribing to any services
- Submitting a request for services
- Subscribing to our newsletter
- Viewing, downloading, or sharing content

When using our Website, you agree not to:
- Access or use the Website for any unlawful or fraudulent purpose
- Interfere with or disrupt the proper working of the Website, our systems, or other users
- Harvest, collect, or store any data or personal information from users of the Website without their express consent (this includes, but is not limited to, email addresses, names, and other contact information)
- The Other Storyteller shall use commercially reasonable efforts to maintain the security of the Services and the security and privacy of Client Data in accordance with TOS’s Data Processing. TOS is not responsible to Clients for unauthorized access to Client Data or the unauthorized use of the Services except to the extent that such access is due to TOS’s negligence or willful misconduct

Eligibility Criteria

TOS is open to all organizations legally operating in Canada and to all individuals who have a refugee, immigrant, international student, or citizen status in Canada.

Clients must be 18 years or older at the time they request any services. We do not accept requests from any organizations that violate Canadian law, our ethical guidelines, or these Terms.

Contact Information Integrity

Your request for services or to contact TOS asks you for accurate and current contact information related to yourself and/or the organization you represent. We reserve the right to suspend or terminate services at any time if we suspect any fraudulent or unethical behavior.

Privacy Policy Integration

Your privacy is our priority. As such, our data collection and usage policies are detailed in our Privacy Policy. By requesting services from TOS, you agree to the terms of our Privacy Policy. We may use the information collected from you to communicate with you about the services we provide and deliver relevant content and announcements.

Intellectual Property and Usage Rights

We respect intellectual property rights. Any content a client shares with us remains the property of the client. However, unless a non-disclosure agreement has been signed, by participating in our services, you grant us a non-exclusive, worldwide, royalty-free license to use your organization name and logo for promotional purposes. We reserve the right to discontinue services to any organization or individual that violates the intellectual property rights of others. You may not use our name, logo, or any other intellectual property without a prior written consent from TOS.
Conduct and Compliance

We expect all participants to conduct themselves in a lawful and ethical manner. Any violations of these Terms, including fraudulent behavior or actions that harm the integrity of the collaboration, may result in discontinuing services qualification and legal action. We reserve the right to amend or modify these Terms at any time without prior notice.

Commercial Use Restrictions

Ownership and licensing of the Products and Services: As between the parties, The Other Storyteller retains all right, title, and interest in and to the Products, including any enhancements, updates and upgrades to such Products, and all products, services, works, and other intellectual property and moral rights related to the Products or services created, used, or provided by The Other Storyteller for the purposes of any collaboration Agreement. No rights or licenses are granted except as explicitly set forth in the collaboration Agreement.

Subject to Client’s compliance with the terms and conditions of this Agreement, The Other Storyteller hereby does not grant any client during the Term to the use of The Other Storyteller Materials in connection with and necessary for the Client’s use of the Services and Products, solely in accordance with the terms and conditions of the Agreement.

Indemnification

Client shall defend The Other Storyteller, its affiliates and each of its and its affiliates’ employees, contractors, directors, suppliers and representatives from and indemnify them for all liabilities, claims, and expenses paid or payable (including reasonable attorneys’ fees) that have been finally awarded by a court of competent jurisdiction or as part of an approved settlement (“Losses”), arising from

(i) Client’s use of the Services in a manner not authorized in the Agreement and/or in violation of the the Acceptable Use Policy and/or applicable law any claim that
(ii) the Client Data, including but not limited to any claim involving infringement or misappropriation of third-party rights.

The Other Storyteller will defend Client, its affiliate and each of its affiliates’ employees, contractors, directors, suppliers and representatives from and indemnify them for Losses arising from a third-party claim that the Services or any Products infringe or misappropriate a third-party’s intellectual property rights in Canada. The foregoing obligations of The Other Storyteller do not apply with respect to the Services or Products to the extent (i) not created or provided by The Other Storyteller (ii) combined with other produces, processes or materials not provided by The Other Storyteller (iii) modified after delivery by The Other Storyteller; (iv) where Client continues using the allegedly infringing Service or Product after being notified thereof or after being informed of modifications that would have avoided the alleged infringement, or (v) Client’s use of the Services is not strictly in accordance with this Agreement.

Each indemnifying party’s indemnification obligations under this Agreement is conditioned upon the indemnified party providing the indemnifying party with: (i) prompt written notice of any claim (provided that a failure to provide such notice shall only relieve the indemnifying party of its indemnity obligations it is materially prejudiced by such failure); (ii) the option to assume sole control over the defense and settlement of any claim (provided that the indemnified party may participate in such defense and settlement at its own expense); and (iii) reasonable information and assistance in connection with such defense and settlement (at the indemnifying party’s expense).

Modifications to Services Offered

TOS reserves the right to modify or cancel its services at any time, without notice, for any reason. In such cases, TOS will make reasonable efforts to notify all clients. TOS is not responsible for any losses or damages incurred as a result of modifications or cancellations.

Compliance and Privacy Policy

TOS is committed to protecting the privacy and the personal information of its clients. Our Privacy Policy describes how we collect, store, and use any personal data and how we comply with the Data Protection. By using the Website and participating in services provided by TOS, you agree to the terms of our Privacy Policy.

Disclaimers and Limitations of Liability

To the extent permitted by law, we exclude all warranties regarding the Website, its content, and the services provided by TOS, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. TOS will not be liable for any direct, indirect, special, consequential, or incidental damages arising out of or in connection with your use of the Website, participation in the offered services, or reliance on any information provided on the Website.

In the event that any limitation or exclusion of liability is not enforceable, our maximum liability to you for any and all claims will be limited to the amount paid by you, if any, for using any services provided by TOS.

Modification and Termination

We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting on the Website. Your continued use of the Website or participation in offered services after any modifications will constitute your acceptance of the updated Terms.

We also reserve the right to terminate or suspend your access to the Website and/or your participation in the services offered by TOS at any time, without notice, for any reason, including but not limited to a breach of these Terms.

Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Canada. Any dispute arising out of or relating to these Terms, the Website, or the services provided by TOS will be subject to the exclusive jurisdiction of the courts of Canada.

Entire Agreement

These Terms constitute the entire agreement between you and The Other Storyteller regarding your use of our Website and participation in our services. Any failure by us to enforce any right or provision of these Terms will not be considered a waiver of those rights.

•      We would like to remind all clients that the contact information submitted to us for the purpose of receiving our services must be correct. By submitting your contact information, you confirm that TOS has all necessary rights and permissions to contact you.
•      If there is evidence of false or inaccurate information, TOS reserves the right to discontinue services immediately.

•      By participating in services provided by TOS, you agree to allow The Other Storyteller and affiliated partners to use your business name and logo for promotional purposes, unless an NDA has been signed.
